PRIVATE LENDING REFERRAL AGENT AGREEMENT

This Agreement (“Agreement”) is entered into by and between the undersigned Borrower (“Borrower”) and Signature Lending Group LLC (“Referral Agent”) as of the date signed below.

1. Purpose

The Referral Agent facilitates introductions between Borrowers and private lending sources for potential funding opportunities. The purpose of this Agreement is to outline the terms under which the Referral Agent will introduce potential lenders to the Borrower.

2. Non-Circumvention & Non-Solicitation

The Borrower agrees that it shall not, directly or indirectly: Circumvent, bypass, or attempt to bypass the Referral Agent to avoid payment of the Referral Agent’s fee; or Solicit or continue any financial relationship with any lender introduced by the Referral Agent without ensuring the Referral Agent is appropriately compensated as outlined in this Agreement. These obligations shall remain in effect in perpetuity from the Effective Date.

3. Finder’s Fee

In consideration for the Referral Agent’s role in introducing the Borrower to potential lending sources, the Borrower agrees that: The Referral Agent shall receive a 2% (two percent) Finder’s Fee based on the total funded amount. This fee shall be paid directly to the Referral Agent at the time of funding. The Borrower hereby authorizes any lender involved in the transaction to pay the 2% Finder’s Fee directly to the Referral Agent on their behalf.

4. Lender Independence

The Borrower acknowledges and agrees that: The lender may charge its own independent origination fee, interest, and other loan terms, separate and apart from the Referral Agent’s fee. The Referral Agent has no role or influence in setting those terms and does not participate in the underwriting, negotiation, or servicing of the loan.

5. Disclaimer

The Referral Agent is not a bank, licensed broker, financial advisor, or lending institution. The Referral Agent’s role is strictly limited to introducing lending sources to the Borrower. This is a business-to-business transaction. The Referral Agent provides no advice or guarantees regarding funding, rates, or approvals. The Borrower is solely responsible for reviewing, understanding, and agreeing to any terms presented by the lender.

6. Governing Law & Legal Fees

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. In the event of any dispute, claim, or legal action to enforce the terms of this Agreement, the Borrower shall be responsible for and shall reimburse the Referral Agent for all legal fees, court costs, and related expenses incurred by the Referral Agent, whether incurred in negotiation, litigation, arbitration, or collection efforts, regardless of whether suit is filed.

7. Entire Agreement

This Agreement contains the full understanding between the Parties and supersedes all prior agreements. It may only be amended in writing signed by both Parties.

The Authorized Signer(s) consents to and agrees to be bound by all the Disclosures set forth on this Application. Authorized Signer(s) confirms and agrees that the information provided in this Application is correct, including the Borrower Attestation. Borrower acknowledges receipt of the Authorization, Acknowledgements, and Disclosures attached. Lender may accept and utilize for all purposes an original, faxed, or scanned copy of this signed Application. The Authorized Signer(s) signing this Application is(are) duly authorized and empowered to request credit on behalf of Applicant.

Authorization

The information contained in this application is provided for the purpose of obtaining business (non-consumer) credit on behalf of the undersigned. It is understood that TuCielo Association Financing LLC, its, attorneys, agents, processors, lenders, investors and applicable third parties or servicers, their successors and assigns (collectively “Lender”) will rely on the information provided in making its credit decision. The undersigned hereby instructs and authorizes Lender to verify or re-verify the information contained in this Application or in other documents submitted in connection with this Application.

Each Authorized Signer, on behalf of the Applicant and for each of themselves, authorizes Lender and entities working with Lender to access credit report, independent background checks, and any other information relating to Applicant and its principals for credit purposes in compliance with 15 USC 1681b(a)(3)(A) in connection with (a) this Application; (b) the opening of or taking a security interest in bank accounts, receivables, inventory and real property related to this Application; (c) the application for any other loan or other product or service offered by Lender; (d) Lender’s review of the loan, account, or other Lender product or service made or extended to Applicant, either as part of the decision to extend credit or as part of Lender’s review and quality control program; and (e) Lender’s collection of a loan, account or other Lender product or service obtained by Applicant. If credit is extended, each Authorized Signer authorizes Lender in the future to obtain additional credit reports as Lender deems necessary. This authorization includes any subsequent inquires required include but not limited to updating credit history and/or quality control. Each Authorized Signer further provides authorization, to the same extent as above, to verify earnings, credit records including bank accounts, stockholdings, current and past mortgages, landlord references and any other assets, liabilities and public record information needed to process the application.

Lender is authorized to make all inquiries it deems necessary to verify the accuracy of the statements herein made, or in its discretion, to further determine the undersigned’s credit standing, or the credit standing of any general partner. Lender is hereby authorized to answer any questions from third parties concerning the undersigned’s experience with Lender.

Equal Credit Opportunity Disclosure – The Federal Equal Credit Opportunity Act prohibits creditors from discriminating against credit applicants on the basis of race, color, religion, national origin, sex, marital status, age (provided that the applicant has the legal capacity to enter into a binding contract), because all or part of the applicant’s income derives from any public assistance program, or because the applicant has in good faith exercised any right under the Consumer Credit Protection Act. The federal agency that administers compliance with this law concerning this creditor is the Bureau of Consumer Financial Protection, 1700 G Street, NW Washington, DC 20006.

Acknowledgements

Each Authorized Signer hereby certifies, confirms, and agrees that:

• (a) the foregoing has been carefully read and is given to Lender for the purpose of obtaining credit described above and other credit from time to time in whatever form;
• (b) the information in this Application and any other documents or information submitted in connection with this Application or any other credit request are true and correct statements of Applicant’s financial condition and may be treated as by Lender as the continuing statement thereof until replaced by a new Application or information or until Applicant specifically notifies Lender in writing of any change;
• (c) the credit requested herein and any other credit obtained from Lender by the Applicant on the basis of the information contained in this Application shall be used solely for business and commercial purposes;
• (d) any intentional or negligent misrepresentation of this information contained in this Application may result in civil liability, including monetary damages, to any person who may suffer any loss due to reliance upon any misrepresentation made in the Application;
• (e) Lender has made no representation, warranty, express or implied, regarding the approval or acceptability of this loan request, the review ofwhich is contingent upon verification and reverification of any information contained herein; and
• (f) as part of underwriting approval, this loan may include requirements for a pre-payment fee, servicing fee, an escrow advance amount for past due payments, and a debt service coverage ratio.
